Senior Legal Counsel (M&A and Commercial - Energy)
Location - London (Hybrid)
Salary - £100,000 - £120,000 per annum
Purpose
A key legal role providing high-quality, commercially focused legal advice on M&A transactions, capital projects, and commercial contracts. The role involves drafting, negotiating, and advising on complex, high-value agreements, ensuring compliance with all relevant laws and regulations. The position primarily supports UK-based teams but also extends internationally.
Key Responsibilities
- Deliver expert legal advice on M&A transactions, capital projects, and commercial contracts.
- Lead the negotiation and drafting of legal agreements, including business acquisitions and commercial contracts.
- Identify and mitigate legal risks while maintaining a commercially pragmatic approach.
- Manage legal budgets and oversee external counsel to ensure cost efficiency.
- Support and develop junior legal team members through knowledge sharing and training.
- Ensure compliance with applicable laws and regulations while aligning legal strategies with business objectives.
- Collaborate closely with internal teams, external advisers, regulators, and contract counterparties.
Required Skills & Experience
- Qualified solicitor/barrister with 5 years+ PQE in a UK jurisdiction (or equivalent with UK advisory experience).
- Significant experience in M&A, ideally within the energy sector and across multiple jurisdictions.
- Strong technical, drafting, and negotiation skills, with the ability to assess and manage commercial risks.
- Ability to work independently in a fast-paced, multi-disciplinary environment.
- Excellent stakeholder management skills, with a collaborative and commercially minded approach.
- Experience of non-contentious construction contracts would be advantageous
