LHH is recruiting a temporary attorney for a publicly-traded company in Beachwood, Ohio. The attorney will be responsible for ensuring legal, statutory, and regulatory compliance, while managing corporate governance and serving as the primary liaison between the board of directors, management, and shareholders. Key duties include organizing board meetings, drafting minutes, maintaining official records, and advising on corporate governance.
Responsibilities:
- Documentation and Record Keeping: Maintaining statutory books, shareholder records, company minutes, and official corporate documents.
- Liaison Function: Acting as a bridge between the board, management, and shareholders.
- Advisor to the Board: Providing guidance on governance best practices, director responsibilities, and overseeing director onboarding.
- Compliance & Legal Support: Resolutions, mergers, and regulatory filings.
- Board Meeting Management: Scheduling meetings, preparing agendas, distributing board materials, recording minutes, and tracking action items.
Pay Details: $80.00 to $120.00 per hour
