We are seeking a detail-oriented and proactive Corporate Paralegal to join our clients legal team in Chicago. In this role, you will support attorneys in corporate transactions, regulatory compliance, contract management, and entity governance. The ideal candidate will have experience working in a law firm or in-house legal department, with strong organizational and research skills.

Salary: $70,000-95,000



Key Responsibilities



  • Assist in the formation, maintenance, and dissolution of corporations, LLCs, and partnerships.


  • Prepare, review, and file corporate documents, including bylaws, resolutions, operating agreements, and annual reports.


  • Conduct due diligence for mergers, acquisitions, and other corporate transactions.


  • Draft and manage contracts, including NDAs, vendor agreements, and corporate policies.


  • Coordinate board and shareholder meetings, including preparing agendas, minutes, and resolutions.


  • Research corporate governance and compliance requirements at federal, state, and local levels.


  • Support securities filings, UCC filings, and regulatory compliance processes.


  • Maintain and update corporate records, ensuring accuracy and legal compliance.


  • Liaise with internal departments, outside counsel, and regulatory agencies as needed.



Qualifications



  • Education: Bachelor’s degree and/or Paralegal Certificate required.


  • Experience: 5+ years of corporate paralegal experience, preferably in a law firm or corporate legal department.


Skills:



  • Strong understanding of corporate law, governance, and compliance.


  • Proficiency in legal research tools and corporate filing databases.


  • Excellent organizational skills with keen attention to detail.


  • Strong written and verbal communication abilities.


  • Ability to manage multiple tasks and meet deadlines in a fast-paced environment.


  • Tech Proficiency: Experience with Microsoft Office Suite, contract management systems, and corporate governance platforms.
