Corporate Paralegal

LHH is seeking an experience Corporate Paralegal for one of their clients in the Raleigh, North Carolina area. This hybrid role combines the duties of a Legal Assistant and a Paralegal, providing crucial support to attorneys in various corporate transactions. These transactions encompass mergers and acquisitions, FDA and healthcare regulations, intellectual property, venture capital, startups, securities, and general corporate matters.


Responsibilities:



  • Support the Chief Legal Officer and Secretary in Board secretary duties including drafting agendas, collecting signatures, maintaining and filing resolutions


  • Maintain the intellectual property portfolio, including performance of initial trademark searches and collection of specimens required for renewals


  • Provide contract support for standard corporate agreements, such as non-disclosure, sales, logistics and independent contractor agreements including initial drafting, review of revisions and filing of signed agreements under supervision of the Chief Legal Officer and Secretary


  • Support the Company’s compliance efforts, including assisting with coordinating global compliance training; disseminating compliance materials; and supporting Company audits


  • Provide support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions


  • Draft Powers of Attorney and lead activities required to apostille, legalize documents required by global affiliates, agencies and lenders


  • Work with other members of the executive team on special projects and initiatives Perform other duties and responsibilities as assigned


Requirements:



  • At least 5 years of experience


  • North Carolina notary required


  • Excellent interpersonal and written and verbal communication skills, including with Board, CEO and Executive Team
