LHH is seeking an experience Corporate Paralegal for one of their clients in the Raleigh, North Carolina area. This hybrid role combines the duties of a Legal Assistant and a Paralegal, providing crucial support to attorneys in various corporate transactions. These transactions encompass mergers and acquisitions, FDA and healthcare regulations, intellectual property, venture capital, startups, securities, and general corporate matters.
Responsibilities:
Support the Chief Legal Officer and Secretary in Board secretary duties including drafting agendas, collecting signatures, maintaining and filing resolutions
Maintain the intellectual property portfolio, including performance of initial trademark searches and collection of specimens required for renewals
Provide contract support for standard corporate agreements, such as non-disclosure, sales, logistics and independent contractor agreements including initial drafting, review of revisions and filing of signed agreements under supervision of the Chief Legal Officer and Secretary
Support the Company’s compliance efforts, including assisting with coordinating global compliance training; disseminating compliance materials; and supporting Company audits
Provide support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions
Draft Powers of Attorney and lead activities required to apostille, legalize documents required by global affiliates, agencies and lenders
Work with other members of the executive team on special projects and initiatives Perform other duties and responsibilities as assigned
Requirements:
At least 5 years of experience
North Carolina notary required
Excellent interpersonal and written and verbal communication skills, including with Board, CEO and Executive Team
